Supplements the Universal Terms and Conditions Framework.
Diversified SaaS, Inc. is a wholly owned company of Diversified Universal LLC. This Company-Specific Terms Supplement applies to software, platforms, websites, and related services owned or operated by Diversified SaaS, Inc. It supplements the Diversified Universal LLC Universal Terms and Conditions Framework and applies unless an applicable offering-specific document expressly provides otherwise.
1.Company and Provider
Diversified SaaS, Inc. owns and operates certain software-as-a-service products and related technology offerings within the Diversified organization.
For an offering identified as a product or service of Diversified SaaS, Inc., references to the provider, company, or service operator in the applicable offering documentation mean Diversified SaaS, Inc., unless the applicable documentation expressly identifies another entity.
Diversified Universal LLC is the parent company of Diversified SaaS, Inc. Ownership by Diversified Universal LLC does not make Diversified Universal LLC the operating provider of every Diversified SaaS offering.
2.SaaS Services
Diversified SaaS, Inc. provides software, hosted technology, application functionality, integrations, support, account administration, and related services through its applicable offerings.
The specific functions, limitations, pricing, service levels, integrations, data practices, and operational rules of each offering are established in the applicable offering-specific documentation.
3.Customer Accounts and Authorized Users
The customer is responsible for establishing and maintaining its account and for identifying and controlling the individuals authorized to use its Diversified SaaS services.
The customer is responsible for assigning appropriate permissions, maintaining accurate account information, protecting credentials, and promptly removing users who no longer require access.
Where an offering provides role-based permissions, those permissions govern what an authorized user may view, change, export, send, or otherwise access.
4.Customer Data
As between Diversified SaaS, Inc. and the customer, the customer retains its rights in Customer Data submitted to or generated through the applicable SaaS offering.
Diversified SaaS, Inc. receives the rights reasonably necessary to host, process, transmit, display, secure, back up, maintain, and otherwise use Customer Data to provide, operate, support, improve, and protect the applicable service, comply with law, prevent fraud and abuse, maintain security and audit records, and enforce applicable agreements.
The customer remains responsible for having the authority necessary to provide Customer Data to Diversified SaaS, Inc. and to direct its processing through the applicable service.
5.Third-Party Technology and Service Providers
Diversified SaaS offerings may use third-party technology and service providers for hosting, infrastructure, authentication, email delivery, communications, analytics, security, fraud prevention, storage, payment processing, development, support, and other operational functions.
The applicable offering documentation may identify providers or categories of providers where appropriate.
Third-party services remain subject to their own terms, policies, availability and technical limitations.
6.Product-Specific Terms
Each Diversified SaaS product may maintain offering-specific terms, policies, disclosures, data documentation, pricing terms, integration terms, or other legal documents.
An offering-specific document supplements this Company-Specific Terms Supplement and the applicable Universal Frameworks.
Where an offering-specific document conflicts with this Company-Specific Terms Supplement, the more specific offering document controls only with respect to the subject it specifically addresses.
No offering-specific document may override a Universal Framework provision that is required by applicable law or expressly identified as organization-wide unless the Universal Framework itself permits that variation.
7.Subscriptions, Pricing, and Billing
Pricing, subscription levels, included functionality, add-ons, usage charges, billing intervals, trials, credits, cancellation procedures, refunds, and other commercial terms are established by the applicable Diversified SaaS offering.
Where an offering has its own pricing or refund policy, that document controls those specific commercial matters.
8.Service Changes and Availability
Diversified SaaS, Inc. may maintain, update, improve, modify, replace, add, remove, or discontinue features, integrations, technologies, or other portions of a SaaS offering.
An offering may experience maintenance, outages, provider interruptions, security restrictions, or other circumstances affecting availability.
Offering-specific documentation may establish additional commitments or procedures where applicable.
9.Security and Access
Diversified SaaS, Inc. maintains safeguards designed to protect information and systems associated with its SaaS offerings.
Customers remain responsible for their authorized users, credentials, access permissions, devices, integrations, API credentials, and internal security procedures.
Offering-specific security documentation may provide additional information about a particular service.
10.Suspension and Termination
Diversified SaaS, Inc. may restrict, suspend, or terminate access to a SaaS offering when reasonably necessary for nonpayment, security, fraud prevention, legal compliance, violation of applicable terms, provider restrictions, unauthorized access, abuse, or protection of the service, customers, users, or others.
Offering-specific terms may establish additional suspension, cancellation, or termination procedures.
11.Governing Law and Venue
Unless an applicable offering-specific agreement states otherwise, the governing-law and venue provisions of the Diversified Universal LLC Universal Terms and Conditions Framework apply.
An offering-specific agreement may identify a different governing law or venue where expressly stated.
12.Company Contact
Questions concerning a Diversified SaaS, Inc. offering should ordinarily be directed through the contact method identified by that offering.
Where no offering-specific contact is provided, contact information maintained by Diversified Universal LLC may be used.
